Behgjet Pacolli Moves to Take Full Control of Vlora Airport, Replaces Administrator Appointed by Valon Ademi

A new chapter has opened in the corporate battle over Vlora International Airport, as Behgjet Pacolli’s company, Mabco, has moved to replace the administrator appointed by Valon Ademi, in a move that could strengthen its control over the airport's concessionaire.

Official documents show that on October 17, 2026, Mabco called an extraordinary meeting of the General Assembly of Partners of VIA, the concessionaire operating the airport. The meeting had just one item on its agenda: the dismissal of administrator Vegim Hoxha and the appointment of Eglantina Seferaj as his replacement.

The meeting took place without the participation of representatives of 2A Group. After establishing that the quorum requirements were met, meeting chairman Emin Pacolli formalised Hoxha’s dismissal and Seferaj’s appointment, authorising lawyers to urgently register the decision with Albania’s National Business Centre (QKB).

Initially, QKB refused to register the change because of deficiencies in the documentation submitted by Mabco. However, on Friday, the decision was reflected in VIA’s company extract, and Eglantina Seferaj was officially listed as the company's administrator.

Administrator Replaced During the Dispute Over 47% of Shares

Vegim Hoxha had been appointed administrator by Valon Ademi in December 2025, shortly after a court suspended the voting rights of Pacolli’s company, Mabco Constructions, in the airport concessionaire amid the Delphos scandal.

The timing of the latest decision is particularly significant. Mabco moved to dismiss Hoxha on October 17, just two days after he had submitted an application to QKB to register the sale of a 47% stake from Mabco to 2A Group.

QKB initially registered the transaction on October 19. However, approximately one week later, the business registry cancelled the registration, citing the absence of consent from the National Commercial Bank (BKT).

Following the cancellation, the ownership structure reverted to its previous distribution: 98% for Mabco and 2% for 2A Group, according to the company records described in the report.

Valon Ademi Challenges the Ownership Narrative

After QKB reversed the registration of the share transfer, 2A Group owner Valon Ademi publicly challenged the way the ownership dispute was being presented.

He argued that ownership of the shares was determined by the contractual agreement, not by newspaper headlines. Ademi also alleged that the interests behind Behgjet Pacolli’s involvement in Vlora Airport extended to the son-in-law of former Kazakh president Nursultan Nazarbayev.

That allegation remains Ademi’s claim and has not been independently established in the information provided.

Legal Battle Over Vlora Airport Continues

The dispute between Mabco and 2A Group is unfolding alongside the broader conflict over the airport concession.

The Albanian government has terminated the concession agreement with VIA and is awaiting the outcome of arbitration proceedings, with the possibility of taking the airport into state ownership depending on the legal process.

The latest change in VIA's administration adds another dimension to the dispute, which now involves competing claims over corporate control, the validity of share transfers and the rights of the concessionaire's shareholders.

Although Eglantina Seferaj is now listed as VIA's administrator in QKB, the underlying ownership and contractual disputes remain unresolved and are expected to continue through legal proceedings.
